«Փաստ» օրաթերթը շարունակում է ներկայացնել «Ճանաչեք և պաշտպանեք ձեր իրավունքները» խորագիրը: Շատ են դեպքերը, երբ քաղաքացիները չեն կարողանում պաշտպանել իրենց իրավունքները, քանի որ իրազեկված չեն, իսկ երբեմն էլ որոշ պետական հիմնարկներ էլ ավելի են շփոթեցնում նրանց:

Օրաթերթը, համագործակցելով ՀՀ փաստաբանների պալատի հետ, այսուհետ հանրային իրազեկման արշավ է կազմակերպում, որը կօգնի մեր քաղաքացիներին իմանալ և պաշտպանել իրենց իրավունքները: Նշենք նաև, որ յուրաքանչյուր հինգշաբթի՝ ժամը 10:00-ից մինչև 17:00-ն փաստաբանների պալատի հանրային պաշտպանի գրասենյակն անվճար խորհրդատվություն է տրամադրում ՀՀ բոլոր քաղաքացիներին:

Հարց. - Ի՞նչպես գրանցել իրավաբանական անձ:

Պատասխանում է փաստաբան Աննա Տոնոյանը:

-Օրենքով սահմանվում են անձանց այն խմբերը, որոնք իրավունք ունեն դիմում ներկայացնել գործակալություն՝ իրավաբանական անձի պետական գրանցման համար: Այդ անձինք են՝ իրավաբանական անձի հիմնադիր(ներ)ը, իրավաբանական անձի գործադիր մարմնի ղեկավարը, օրենսդրությամբ

ուղղակիորեն նախատեսված այլ անձ և նրանց ներկայացուցիչները:

Դիմողն իրավաբանական անձի պետական գրանցման համար գործակալություն է ներկայացնում`

1. դիմում.

2. իրավաբանական անձ հիմնադրելու մասին հիմնադիրների որոշումը կամ հիմնադիր ժողովի (համագումարի կամ օրենքով սահմանված այլ մարմնի) արձանագրությունը` ստորագրված բոլոր հիմնադիրների կամ օրենքով նախատեսված դեպքերում՝ ժողովի նախագահի և քարտուղարի կողմից.

3. իրավաբանական անձի կանոնադրությունը` հաստատված հիմնադրի (հիմնադիրների) կամ հիմնադիր ժողովի (համագումարի կամ օրենքով սահմանված այլ մարմնի) կողմից.

4. պետական տուրքի վճարումը հավաստող փաստաթուղթ.

5. տեղեկություններ իրավաբանական անձի գործադիր մարմնի ղեկավարի կամ նրա ժամանակավոր պաշտոնակատարի վերաբերյալ՝ անձնագրային տվյալները և սոցիալական քարտի համարը կամ նշում անձի՝ սոցիալական քարտից հրաժարվելու մասին և համապատասխան տեղեկանքի համարը, էլեկտրոնային փոստի հասցեն.

6. սույն օրենքի 66-րդ հոդվածով սահմանված դեպքերում ներկայացվում են նաև նշված հոդվածով ամրագրված տեղեկությունները և փաստաթղթերը.

7. մեկ անձի կողմից իրավաբանական անձի հիմնադրման դեպքում սույն հոդվածի 1-ին մասի 2-րդ կետով նախատեսված փաստաթղթի փոխարեն ներկայացվում է հիմնադրի միանձնյա գրավոր որոշումը:

Օրենքով նախատեսվում են նաև հավել յալ փաստաթղթեր ներկայացնելու անհրաժեշտություն կրող դեպքեր:

Իրավաբանական անձի պետական գրանցման համար դիմողը փաստաթղթերը ներկայացնում է գործակալություն թղթային կրիչի վրա անձամբ կամ անհրաժեշտ տեղեկատվությունը և համապատասխան էլեկտրոնային փաստաթղթերը համացանցի միջոցով տեղեկատվական համակարգ մուտքագրելու միջոցով: Անհրաժեշտ բոլոր փաստաթղթերը գործակալություններ կայացնելուց ոչ ուշ, քան երկու աշխատանքային օրվա ընթացքում գործակալությունը պետք է կատարի համապատասխան պետական գրանցումը:

Օրենքով նախատեսվում են նաև իրավաբանական անձի գրանցման համար հատուկ ժամկետներ:

Իրավաբանական անձը ստեղծված է համարվում պետական գրանցման պահից:
